| Acceptance of Terms: |

The website services that Spag Consultants Private Limited (hereinafter referred to as “the Company”) provides to the user/Member on this Website www.prinindia.com (hereinafter referred to as “the Website”) are subject to the following terms of use (hereinafter referred to as “TOU”). The Company reserves the rights to revise at any time without notice to user the TOU including but not limited to the fee structure and charges for use. |

This Agreement shall govern the use of the Website and the materials contained in the Website and sets forth the terms and conditions that apply to the use of the Website and the materials contained therein by user. By using the Website (other than to read this Agreement for the first time), user agrees to comply with all of the terms and conditions hereof. The right to use the Website is personal to user and is not transferable to any other person or entity. User is responsible for all use of users account (under any screen name or password) and for ensuring that all user accounts comply fully with confidentiality of user password(s), if any. In case the user is a company any member of that Company can use the said username and password, only while the individual is employed with the user company. The company cannot however transfer the user name and password to any other Company. |

Company shall have the right at any time to change or discontinue any aspect or feature of the Website including, but not limited to content, hours of availability and equipment needed for access or use. |

The Member represents and warrants to the Company that i) it has the right to deliver to the Company content submitted by the Member ii) it will comply with all applicable laws, rules and regulations including but not limited to the Information Technology Act and the Intellectual Property laws, obtain all required authorizations, from recipients in connection with distribution lists provided by Member and with respect to any data provided by Member and with respect to any data provided by Member concerning individuals, Members have received the consent of such individuals for such transfer. ii) No content submitted by a Member shall contain any content that is obscene, libelous, slanderous or otherwise defamatory, false or misleading or which violates any copyright, right of privacy or publicity or other right of any person (iv) Member content will not contain any viruses, scripts, macros or programs or any code that alters destroys or inhibits the operation of or infiltrates computer systems or data run through such computer systems.(v) By its submission of copy and or/other information to the Company Member agrees to be bound by these conditions of service and that the Member has full right, power and authority to execute these conditions of service. |

Members shall hold harmless and indemnify the Company its affiliates, directors, agents or employees or any person authorized by the Company to process, transmit or distribute member content from and against any and all claims, losses, damages, liabilities, costs and expenses arising out of or in relation to or with regard to any breach by Member of the foregoing representations and warranties or otherwise arising out of or relating to the contents of the Member Content. |

Company reserves the right to reject or edit or copy information when necessary in its discretion. Member grants Company a royalty free, non-exclusive perpetual license and right to reproduce, distribute, translate, archive and create derivative works of the processed Member’s Content. |

| Description Of Service / Fee: |

This is a member only system and Members are entitled to benefits such as free consulting time, invitation to workshops, seminars and the Companies newsletter INsite™. As a Member/user you will have access to members only area and pricing guide specially designed for the Members. Member needs to login or e-mail your RM for any of your needs from the vast pool of products and services. Members can also request consultation if he needs strategic advice, and on finalization such requirements the team will take over and ensure successful completion of requisite tasks. Members also have an option of choosing and buying any of the customized products.
Company facilities are governed in accordance with the Laws of India including but not limited to the Information Technology Act.
Any information in any format known or hereinafter developed including, without limitation, textual, photographic, video and audio files and Url’s (hereinafter referred to as “Members Content”) may be submitted to the Company by members only at a non refundable fee of Rs 5,000/- annually plus service tax. Services may be withheld and/or interest charges may be levied on overdue accounts @ 18% in addition to any late payment fee/charges. Company shall have the sole discretion to revise the membership fee or any of the aforesaid charges from time to time. Member is solely responsible for updating any and all of its information in a timely manner. |

| Equipment: |

Member shall be responsible for obtaining and maintaining all telephone, computer hardware, software and other equipment needed for access to and use of the Website and all charges related thereto. |

| User Conduct: |

User shall use Website for lawful purposes only. User shall not post or transmit through Website any material which violates or infringes in any way upon the rights of others, which is unlawful, threatening, abusive, defamatory, invasive of privacy or publicity rights, vulgar, obscene, profane or otherwise objectionable, which encourages conduct that would constitute a criminal offence, give rise to civil liability or otherwise violate any law, or which, without Company’s express prior approval, contains advertising or any solicitation with respect to products or services. Any conduct by a user that if in company’s discretion restricts or inhibits any other user from using or enjoying the Website will not be permitted. User shall not use the Website to advertise or perform any commercial solicitation, including, but not limited to, the solicitation of users to become subscribers of other on line information services competitive with the Company. |

All news releases and other information-transmitted by the Company must contain a Member supplied contact name and a phone number and a clearly identifiable source. The source gives legitimacy to the news release by indicating who is responsible for the content and cannot be the name of an agency issuing news on behalf of the Member. |

| Member Account, Password And Security: |
| |
During or before opening an account user must complete the registration process by providing name of the company with current, complete and accurate information as prompted by the applicable registration form. User will choose a password and username. User is entirely responsible for maintaining confidentiality of user password and name. Furthermore user is entirely responsible for all activities on his account. |

In an attempt to provide increased value to our Member, we may provide links to other Websites or resources. Without limiting the forgoing the Company shall have the right to terminate this Agreement at any time for any or no reason or if in the opinion of the Company, in its sole discretion, the Company considers conduct/ use of the Website by Member to be unacceptable or a breach of this Agreement. |

| Miscellaneous: |

Member acknowledges and agrees that in entering into this Agreement it does not rely on any statement, representation, warranty or understanding (whether negligently or innocently made) of any person (whether party to this Agreement or not) other than as expressly set out in this Agreement. This Agreement constitutes the entire agreement and understanding of the Parties and supersedes any previous agreement between the Parties relating to the subject matter of this Agreement.
Furthermore Member also acknowledges that in case any information provided by the Member is to be kept confidential then the Member shall inform the Company of the same and the said information shall not be released by the Company until a release is provided by the Member. |

| Governing Law / Dispute Resolution: |

This Agreement shall be governed by and interpreted in accordance with the law of India, which in this context shall mean statutory law, judicial decisional law and delegated legislation of India as well.
All disputes with regard to or in relation to this Agreement shall be finally resolved in accordance with the provisions of the Arbitration and Conciliation Act, 1996 as amended from time to time [hereinafter referred to as “Arbitration Act”] at New Delhi, India by one arbitrator appointed by agreement between the Parties to the dispute. The decision or award resulting from the arbitration shall be final and binding on the Parties, and may be made an order of court at the instance of any Party to the dispute. The arbitral award may be entered in any court that has jurisdiction thereof. |
